Governance Training, Recommendations, and Terms of Reference

As part of FVMBA’s 2024 strategic planning process, we led governance training and the development of recommendations and terms of reference to address key organizational challenges related to capacity, role clarity, and board effectiveness. This work resulted in three core deliverables:

• Board of Directors Terms of Reference – Clarified the governance role of the board, including oversight responsibilities, fiduciary duties, and expectations for individual directors, with emphasis on the distinction between governance and operational activities.
• Directors as Volunteers Terms of Reference – Defined the operational contributions expected of individual directors, including regional responsibilities, event coordination, fundraising, and community representation, while outlining reporting relationships and authority boundaries.
• Capacity and Governance Recommendations Report – Identified key gaps and proposed actionable strategies, including role clarification, committee restructuring, onboarding improvements, and policy development priorities.
